CARE Boarding Vet Services Agreement

The purpose of APNM’s CARE Program is to provide safe housing and care for the companion animals of persons who are seeking refuge from domestic violence and/or other emergency situations.
This Service Agreement (“Agreement”) is made and entered into on the commencement date of

by and between Animal Protection New Mexico, a New Mexico not-for-profit corporation having an office and principal place of business at PO Box 11395 Albuquerque, NM 87192 (“CARE”), and

This Agreement shall remain in effect 24 months from the commencement date, or until terminated by the parties, whichever comes first.
In consideration of the mutual promises set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
1. Contractor hereby agrees to provide (check all that apply):

    2. Contractor shall use best efforts in providing the referenced services to CARE Grant Program Recipients and shall provide CARE Program Manager or her designee with status reports as requested.
    3. Contractor shall bill CARE immediately upon completion of services rendered or at the end of each calendar month. Invoices should describe services performed, agreed upon discount including in-kind donation amount (if any), and indicate the date(s) the services were performed.
    4. Contractor understands and agrees that CARE will not withhold income taxes or other governmental levies from remuneration unless a governmental authority requires that CARE do so. Contractor is solely responsible for all applicable taxes related to compensation hereunder and hereby indemnifies and holds CARE harmless from all liability for any such taxes. The obligations of this paragraph shall continue in full force and effect following the termination of this Agreement.
    5. Contractor is not an employee of CARE and (a) agrees to indemnify and hold harmless CARE from any liability arising out of misconduct or negligence in performing under this Agreement, and (b) agrees not to hold herself or himself out as an employee of APNM or CARE. Neither party anticipates that services under this Agreement will constitute Contractor's sole source of income. Contractor is encouraged to seek income from other sources, including those in the field(s) of the services involved in this Agreement, and the parties expect that Contractor will do so. The obligations of this paragraph shall continue in full force and effect following the termination of this Agreement.
    6. Either party may terminate this Agreement upon thirty (30) days’ written notice. Termination notice shall be provided to the following: Daniel Abram, Deputy Director, PO Box 11395, Albuquerque, NM 87192. If CARE terminates this Agreement, CARE will notify and pay Contractor for any work completed prior to the date of the notice of termination.
    7. Neither party may assign this Agreement unless agreed to in writing by CARE.
    8. This Agreement represents the entire agreement and understanding of the parties and supersedes all prior negotiations, agreements, and understandings. Neither this Agreement nor any term or provision hereof may be modified in any manner other than by an instrument in writing signed by the party against whom the enforcement of the modification is sought.
    9. This Agreement shall be construed in accordance with the laws in the New Mexico and any judicial proceedings may only be brought in the Santa Fe, New Mexico.
    10. The parties agree that the electronic signatures appearing on this agreement are the same as handwritten signatures for the purposes of validity, enforceability, and admissibility. By signing below, I am stating that I have read, understand, and agree to all the terms and conditions set forth above.
